Agreement Templates

Many University activities require entering into agreements with external organizations and institutions. To protect the University's interests, it is essential that all contracts be developed and managed in ways that maximize benefits, minimize unintended consequences, and ensure compliance with all contractual, legal, ethical, and regulatory obligations.

We provide a set of standard agreement templates for sponsored projects. These templates must be used with support from OSP Officers:

Once a Document Summary Sheet (DSS) is submitted, our team will assist with drafting, reviewing, negotiating,  and executing the agreement. Although agreements may relate to a specific unit (e.g., PI, college, institute), they are ultimately University agreements and must be signed only by a University authorized official.

Form Name Details
Employee/Independent Contractor Classification Checklist

Required when the potential independent contractor is an individual.

CORRECTION to Procedural Step 5: When a sponsored project is involved, an OSP signature is NOT needed and is NOT required as an additional signer.

Independent Contractor Services Agreement

Required when (1) the potential contractor is a non-individual legal entity, or (2) the Checklist determines than an individual qualifies as an independent contractor. 

The ICA form and process are owned and managed by Accounts Payable (AP). Contact AP for questions, including negotiating terms. 

OSP does not sign ICAs; they are signed by the appropriate departmental official (e.g., department chair). Purchasing processes these agreements.

Guest Lecturer/​Performer Agreement (pdf) Used to compensate guest lecturers and performers
Materials Transfer Agreement Used to transfer research materials from one institution to another. OSP and/or Technology Licensing Office (TLO) will assist in preparing the appropriate agreement, based on the circumstances described in the linked guidance.
Business Confidentiality Claim Form (doc) This Office of General Counsel (OGC)-recommended form allows funding partners to provide the University with a written claim of business confidentiality regarding proprietary information they share with the University
